Terms of Service

Welcome to Sportimix. These Terms of Service ("Terms") govern your access to and use of the Sportimix mobile application and website (collectively, the "Service") provided by Sportimix ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 13 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Sportimix is a platform that enables users to discover, organize, and participate in pickup sports events. The Service includes features such as event creation and discovery, a social feed, messaging, voice and video calling, player ratings, and the SPMX points system. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and update your account information to keep it accurate.
  • Keep your login credentials secure and not share them with others.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account if we believe you have violated these Terms or if your account has been compromised.

4. User Conduct

You agree to use the Service in a lawful and respectful manner. You must not:

  • Post content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, or otherwise objectionable.
  • Impersonate any person or entity, or falsely represent your affiliation with a person or entity.
  • Use the Service to send spam, unsolicited messages, or promotional material.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Attempt to gain unauthorized access to any part of the Service or other users' accounts.
  • Use automated systems, bots, or scrapers to access the Service without our prior written consent.
  • Engage in any activity that could harm the reputation or interests of Sportimix or its community.

5. SPMX Points

The Service includes an in-app points system known as SPMX points. SPMX points are earned through community participation and engagement, including attending events, creating posts, and other activities. You acknowledge and agree that:

  • SPMX points have no real-world monetary value and cannot be exchanged for cash or currency.
  • We reserve the right to modify the earning rates, deduction rules, and overall structure of the SPMX points system at any time.
  • SPMX points may be deducted as penalties for certain actions such as no-shows at events or username changes.
  • SPMX points are non-transferable except through mechanisms provided within the Service.
  • We may reset, adjust, or remove SPMX points balances if we detect fraud, abuse, or violations of these Terms.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Sportimix and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

By posting content on the Service, you grant Sportimix a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content in connection with operating and promoting the Service. You retain all ownership rights to your content.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Sportimix does not guarantee the accuracy, completeness, or reliability of any content posted by users. Sportimix is not responsible for any injuries, damages, or losses that may occur during events organized through the Service. Participation in sports events is at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPORTIMIX, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sportimix operates, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If we make material changes, we will notify you by posting the updated Terms within the app or on our website with a new "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
